Welcome to Halo (Halo Business Chat). By using our app, you agree to these terms. Please read them — they're short and important.
1. Using Halo You agree to use Halo for professional, lawful purposes. Don't do anything shady, abusive, or illegal on the platform.
2. Accounts You're responsible for your account and anything that happens under it. Don't share your login, impersonate anyone, or try to break the system.
3. Content You own the content you create or share on Halo. By posting it, you give us permission to use it within the product (like for AI suggestions or matching). Only post things you have the right to post.
4. AI and Recommendations Halo uses AI to surface connections and opportunities. These are suggestions — not guarantees. You're responsible for what you act on.
5. Nature of the Platform and Peer-to-Peer Interactions Our platform facilitates social communication and peer-to-peer digital gifting. It is not a marketplace for freelance services, employment, or "gig" work.
Any "favors," introductions, or social interactions arranged between users are strictly voluntary, peer-to-peer agreements.
We are not a party to these agreements, do not guarantee the quality, safety, or completion of any favor, and assume no liability for the outcomes of user interactions.
Digital gifts sent on the platform are strictly voluntary tokens of appreciation; they hold no guaranteed cash value, are not to be construed as wages or contractual compensation, and cannot be redeemed for cash through the platform.
6. Finality of Transactions and Deliveries Sending a digital gift authorizes the immediate charge of the Sender's selected payment method.
Where applicable, by interacting with UI elements such as “Accept Gift”, "Release Gift" or "Claim Gift", users acknowledge the underlying interaction is complete.
Once a gift is claimed or its link or code is revealed, the transaction is final, non-reversible, and non-refundable.
Users expressly waive the right to dispute charges with their financial institution on the basis of non-delivery once the acceptance action has been logged by our systems.
7. Account Security, Transaction Limits, and Disputes As the platform evolves, we reserve the right to implement and adjust daily, weekly, and annual velocity limits on the value and volume of gifts a user may send or receive.
We may introduce requirements for additional identity verification, including 3D Secure (3DS) authentication, prior to processing any transaction.
We maintain a strict zero-tolerance policy against payment fraud and abuse.
In the event a user initiates a chargeback, payment dispute, or ACH return, we reserve the right to immediately and permanently suspend their account and all associated features.
If an account is reinstated upon review, all future transactions may be subject to mandatory security verifications.
8. Delivery Timelines and Processing Fees The platform may offer varying delivery speeds for digital gifts (e.g., Standard Delivery or Instant/Express Delivery) as features become available.
Delivery options may be subject to non-refundable processing and handling fees, clearly displayed prior to checkout.
If a delayed delivery option is selected, the gift will be held in escrow and released only upon final settlement of the Sender's funds.
We are not liable for delivery delays caused by third-party payment processors or banking networks.
9. Pro Accounts and Platform Credits The platform may introduce "Pro Accounts" or "Corporate Accounts" allowing users to pre-purchase "Available Gift Credits" for bulk gifting.
By utilizing such features, you represent and warrant that you are acting in a commercial, business, or professional networking capacity — not for personal, family, or household use.
Credits hold no cash value, are not deposit accounts, do not earn interest, and cannot be withdrawn or exchanged for cash.
Funding methods for Credits may be restricted to verified commercial credit cards, wire transfers, or authorized bank integrations, and may require Know Your Business (KYB) verification.
10. Tax Compliance and Receiving Limits Users are solely responsible for determining, collecting, reporting, and remitting any applicable federal, state, or local taxes arising from gifts received on the platform.
To comply with regulatory reporting thresholds, including IRS Form 1099-K, the platform reserves the right to enforce maximum limits on the total value of gifts any single user may receive within a calendar year.
Upon reaching any such limit, a user's ability to claim additional gifts may be automatically suspended until the following calendar year.
We do not provide tax advice. Users should consult a tax professional regarding their specific obligations.
11. Termination We can suspend or remove your account if you break these terms or misuse the app. You can delete your account anytime too.
12. No Warranties We offer Halo "as is." It might change, break, or go offline. We're doing our best, but use it at your own risk.
13. Limitation of Liability To the extent allowed by law, we're not responsible for any losses, damages, or drama that result from using Halo.
14. Changes to These Terms We may update these terms. If we do, we'll notify you. If you keep using Halo after the changes, that means you accept them.
